A Global Business Company (GBC) is a company incorporated in Mauritius under the Companies Act 2001 and licensed by the Financial Services Commission (FSC) under the Financial Services Act 2007. The GBC is the primary vehicle through which international investors and multinational groups access Mauritius's extensive treaty network, making it the most widely used structure for holding, investment, and cross-border business activities in and through Mauritius.
Tax Treatment
GBCs are subject to Mauritius corporate tax at 15%. However, foreign-source income qualifies for an 80% partial exemption, resulting in an effective tax rate of 3% on qualifying income — subject to meeting the relevant conditions.
Substance Requirements
A GBC must demonstrate adequate substance in Mauritius, including having qualified personnel, maintaining business premises, incurring operating expenditure, and holding board meetings in Mauritius with a majority of locally resident directors.
Share Capital
No minimum share capital requirement. The GBC may issue shares in any currency and class. Par value and no-par value shares are both permitted under the Companies Act.
Beneficial Ownership
The FSC requires full disclosure of all beneficial owners and controllers. Beneficial ownership information is maintained in a central register accessible to regulatory authorities.
Annual Compliance
GBCs must file annual financial statements (audited if required), annual returns with the ROC, and FSC annual fees. A Company Secretary licensed in Mauritius is mandatory.
Governance
A GBC must have at least one resident director and a company secretary. Board meetings must be held in Mauritius and properly minuted. Decisions made outside Mauritius may affect treaty access.
