Investment Dealer licences are issued by the FSC under the Securities Act 2005 and enable the holder to deal in securities, execute client orders, and operate trading and brokerage services on a regulated basis. Mauritius offers three categories of Investment Dealer licence to accommodate full-service broker-dealers, traditional brokers, and discount brokerage operations. Full Service Dealer
The most comprehensive dealer licence — enables dealing in securities for own account and clients, proprietary trading, market making, and investment advice. Suitable for integrated broker-dealers, prime brokers, and full-service securities firms requiring the complete range of market-facing activities.
Broker
An execution-focused licence authorising the holder to execute client orders in securities on a pure agency basis. No proprietary trading or investment advice permitted. Lower capital requirements and streamlined compliance make this ideal for execution-only intermediaries.
Discount Broker
A streamlined licence for technology-driven, online brokerage platforms focused on low-cost order execution. The lowest capital requirement of the three categories and a digital-first regulatory framework make this the natural choice for fintech and online trading platforms.
Licensing Process
Investment Dealer applications are reviewed by the FSC with particular scrutiny of capital adequacy, compliance frameworks, technology infrastructure, and the qualifications of key personnel. PrimeLuxe manages the complete application process from initial assessment through to licence grant.
Capital Requirements
Investment Dealers are subject to higher minimum capital requirements than advisors, reflecting the principal risk inherent in dealing activities. Requirements vary by licence category — Full Service being the highest and Discount Broker the lowest.
Transaction Monitoring
All Investment Dealers must implement robust transaction monitoring systems to detect suspicious activity, market abuse, and AML/CFT red flags. Systems must be documented, tested, and maintained in accordance with FSC requirements.
Technology & Systems
